Restructuring a global group

 

Restructuring a global traffic safety group with operations in Sweden, the Netherlands, USA and Australia, saving 20 MSEK on an annual basis and reducing networking capital with 30 MSEK.

The restructuring program covered down sizing o thef engineering, sales, operations and supply organizations with 25%, as well as outsourcing of manufacturing and transformation of the supply chain in order to increase flexibility, reduce net working capital demand and to reduce cost of goods sold with 20%.

The program was focused on the Dutch and Swedish operations. The objectives were achieved at a total restructuring cost of 16 MSEK which was 14 MSEK lower than budget.

The group is a public listed technology company with a leading position in the traffic safety business. The restructuring followed the merger between a Swedish and a Dutch competitor.

Acquisition & post-merger integration

 

Project management of the acquisition of a family run competitor, including the transaction from Letter of Intent to Closing and the following integration of the group.

 

Project management of the acquisition project from initial contacts to integration of the operations. The acquisition generated significant share holder value through a balanced transaction involving a share issue, convertible loans from the seller and cash transaction. The integration project covered all aspects and challenges of integration of two competitors, a family run business and a public listed as well as cultural challenges between different nationalities.

The acquisition project team included investment bankers, financial advisors and lawyers. The major challenge was to balance the expectations of shareholders on both sides by tailoring the transaction.

The integration project team included the management teams from both sides where the major challenges were to overcome differences in culture and leadership principles without losing business focus.

Business-to-government project

 

Management of a major bid in a government request for tender, from pre-tender relationship building and needs analysis, bid management and contract negotiations to successful win and profitable implementation.

 

The project was a must-win project and instrumental for the company's future development. Being a half billion SEK technology project, every step had to be executed diligently in order to achieve the goals while operating within the boundaries of the European public procurement process.

The pre-tender activities covered relationship building, in-depth needs analysis and establishing preferences for the company's solution prior to the bid while respecting the government procurement procedures.

The tender process covered all aspects of the solution from technology, operations and commercial and legal aspects. The major challenge was to understand the competitive situation and to adapt the bid to business intelligence.
